Most Recent Transaction:
ProActive Strategies was engaged to advise on the sale of three founder-owned plumbing companies in Florida—businesses that had already failed to transact twice. When we stepped in, the financials were in disarray, the owners lacked a clear understanding of their revenue mix, and inventory had never been properly tracked.
Leveraging our CPA-led financial expertise, we rebuilt and cleaned the books, established accurate financial reporting, identified the true revenue mix, and implemented inventory tracking to create a clear and defensible picture of the businesses’ financial performance. That deeper financial understanding allowed us to uncover value that had previously gone unrecognized and position the companies for a premium valuation.
From there, ProActive managed the transaction from start to finish. We initiated and managed outreach, marketed the businesses, managed buyer communications and negotiations, sourced and identified the perfect buyer, and coordinated the full due diligence process through closing. While trades businesses typically transact at approximately 6–8x EBITDA, ProActive achieved an ~9x EBITDA multiple.
We ultimately took three businesses that had failed to sell twice, transformed their financial presentation, demonstrated their true value, and successfully sold them to a sophisticated private equity-backed strategic acquirer. From initial buyer sourcing and outreach through marketing, negotiations, due diligence, and closing, the entire transaction was completed in just 38 days—at an industry premium.
Largest Transaction:
Our largest transaction experience took place in 2018 with a software company in Jacksonville, Florida. The company was ultimately acquired by a Private Equity buyer following several rounds of intense competition and a highly competitive bidding process. The transaction culminated in a $140+ million sale, and less than two years later, the company was sold again for $250+ million—demonstrating the significant value that had been created through the original transaction and subsequent growth.
This incredible experience provides an important foundation for ProActive Strategies' transaction expertise. It gave our team firsthand exposure to the demands of a highly competitive $140+ million transaction, including the financial preparation, due diligence, buyer scrutiny, and execution required to successfully navigate a transaction of significant scale. Today, that experience informs the way we approach transactions for founder-owned businesses—bringing the same level of financial rigor, transaction discipline, and understanding of buyer expectations to every engagement.
